These Terms and Conditions apply to all products sold by us, Meridian Packaging Ltd, registered at Unit 1, Swinstead Close, Nottingham, NG8 3JG (“we/us/our”).
1. Definitions and Interpretation
1.1 In these Terms and Conditions:
- “Consumer” is defined as per the Consumer Rights Act 2015.
- “Contract” refers to the legally binding agreement between you and us for the purchase of products, as outlined in clause 2.
- “Customer” means you, whether a Consumer or a business customer placing an order.
- “Order” means the request you place for our products.
- “Order Confirmation” refers to our acceptance of your order as detailed in clause 2.
- “Products” refers to the items we supply as specified in your order and confirmed in our Order Confirmation.
- “Website” refers to www.meridianpackaging.co.uk.
1.2 References to “writing” and “written” include electronic communications, such as emails.
2. The Contract
2.1 These Terms and Conditions govern all product sales by us and form the foundation of the Contract between us and you.
2.2 If you wish to place an order, our Website will guide you through the process, displaying all relevant details on pricing, product specifications, and sizes. Before finalising, you’ll have a chance to review and amend your order. Please confirm that your order details are correct and that you have read these Terms carefully.
2.3 Placing an order does not constitute a binding agreement until we accept it via Order Confirmation. Your order is an offer to purchase, and only when we issue the Order Confirmation does it become a legally binding Contract.
2.4 Your Order Confirmation will outline the ordered products, including detailed pricing (such as taxes and delivery), our contact information, any personalisation, and an estimated delivery date.
2.5 If we cannot accept or fulfil your order for any reason, we will notify you, and any payment already made will be refunded within 14 days.
2.6 Once confirmed, we are generally unable to modify orders.
3. Product Descriptions and Specifications
3.1 We aim to ensure that all product descriptions and images on our Website reflect the actual products as closely as possible, though slight variations in colour may occur.
3.2 After placing an order, you will receive a link to upload any necessary artwork or personalisation details. A proof will be provided for your approval before printing, and it is your responsibility to ensure that all details are accurate.
3.3 Personalised products are non-returnable if the return is due to incorrect information supplied by you. This does not affect your legal rights as a consumer, where applicable.
3.4 We reserve the right to make changes to product specifications to meet regulatory or safety requirements without prior notice.
4. Price and Payment
4.1 Product prices displayed on our Website are current and may be updated. Prices for confirmed orders will not be affected by any subsequent changes.
4.2 We strive for accurate pricing; however, if a pricing error is found, we will inform you, and you will have the choice to proceed at the correct price or cancel your order.
4.3 All prices include VAT, where applicable. Any changes to VAT rates after your order but before payment will be reflected in your total price.
4.4 Delivery charges will be shown during the checkout process.
4.5 Payments are securely processed through a third-party gateway, and Meridian Packaging does not store or handle your card information.
5. Delivery
5.1 Currently, we deliver within mainland UK, and certain regions may incur additional delivery fees. Any additional charges will be detailed before checkout.
5.2 Orders are typically delivered within 14 calendar days of Order Confirmation, barring any delays beyond our control, as explained in clause 9.
5.3 If you are not available at the delivery address and an alternative safe place has not been designated, the courier will leave a note with instructions on how to arrange redelivery.
5.4 Additional charges may apply for redelivery if initial delivery attempts are unsuccessful.
6. Cancellations
6.1 Consumers are entitled to a 14-day cooling-off period, but this does not apply to personalised items. Once proofs are approved, personalised orders cannot be cancelled.
6.2 Non-personalised orders cannot be cancelled once confirmed.
6.3 We may cancel your order if the product is out of stock or discontinued, or if an event outside our control occurs (see clause 9). In such cases, any payment made will be refunded within 14 days.
7. Faulty, Damaged, or Incorrect Products
7.1 If products are faulty, damaged, or incorrect upon delivery, you have a 30-day window to report the issue and arrange a return.
7.2 If a replacement is preferred instead of a refund, we will arrange this within a reasonable timeframe.
7.3 To initiate a return, please contact us, and we will cover the return costs for faulty or incorrect items.
8. Limitation of Liability
8.1 We are responsible for foreseeable loss or damage caused by our breach of these Terms or negligence. We are not liable for indirect losses, loss of business, or loss of profits.
8.2 Nothing in these Terms limits liability for death or personal injury due to negligence or fraudulent misrepresentation.
8.3 These Terms do not affect your rights as a consumer.
9. Events Outside of Our Control (Force Majeure)
9.1 We are not responsible for delays or failures resulting from events outside our control, such as natural disasters, strikes, or other unforeseen circumstances.
10. Data Protection
10.1 All personal information is handled according to the General Data Protection Regulation (GDPR) and the Data Protection Act 2018. For further details, see our Privacy Policy on our Website.
11. Additional Terms
11.1 We may transfer our rights and obligations under these Terms to a third party if necessary.
11.2 You may not transfer your rights without our prior written consent.
11.3 If any clause is deemed unenforceable, it will be considered severed, with the remaining provisions still enforceable.
11.4 Our failure to enforce any right does not constitute a waiver of that right.
12. Governing Law and Jurisdiction
12.1 These Terms and Conditions, and the Contract between us and you, are governed by the laws of England and Wales. Disputes will be subject to the jurisdiction of the English courts.
